By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Services

FileOnion provides secure cloud-based document collection, document management, workflow automation, electronic file sharing, customer portals, integrations, notifications, and related Software-as-a-Service (SaaS) solutions.

We reserve the right to modify, suspend, discontinue, or improve any portion of our Services at any time.

2. Account Registration

To use certain features of the Services, you may be required to create an account.

You agree to:

  • Provide accurate and complete registration information.
  • Maintain the confidentiality of your login credentials.
  • Notify us immediately of any unauthorized use of your account.
  • Accept responsibility for all activity occurring under your account.

  • Resell, sublicense, or commercially exploit the Services.
  • Remove proprietary notices.
  • Use the platform for unlawful purposes.

All intellectual property rights remain the exclusive property of FileOnion.

4. User Responsibilities

You agree to:

  • Upload only content you have the legal right to use.
  • Keep your account information current.
  • Use the Services only in compliance with applicable laws.
  • Not interfere with the security or operation of the platform.
  • Be solely responsible for the legality, accuracy, and integrity of all documents and data you upload.

You are responsible for maintaining any equipment or internet connection required to access the Services.

5. Subscription, Billing & Payments

Some FileOnion features require a paid subscription.

By purchasing a subscription, you agree to:

  • Pay all applicable subscription fees.
  • Authorize recurring billing where applicable.
  • Pay any applicable taxes.
  • Pay additional charges if your usage exceeds your subscribed plan.

Failure to make payment may result in suspension or termination of your account.

You may cancel your subscription at any time through your FileOnion account.

Cancellation becomes effective at the end of your current billing period unless otherwise stated.

FileOnion reserves the right to suspend or terminate access for:

  • Violation of these Terms
  • Fraudulent activity
  • Non-payment
  • Abuse of the Services
  • Security risks
  • Any activity that may negatively affect the platform or other users

Following account termination, FileOnion may retain your data for a limited period before permanent deletion in accordance with our data retention policies.

7. Program Description (SMS)

By opting in to receive SMS communications from FileOnion, you agree to receive text messages related to:

  • Account verification
  • Document request notifications
  • Document upload reminders
  • Workflow updates
  • Security notifications
  • Customer support communications
  • Product announcements
  • Optional promotional messages (only where marketing consent has been provided)

Message frequency varies.

8. SMS Opt-In Consent

You may opt in to receive SMS messages by providing your mobile number through:

  • Account registration
  • Contact forms
  • Demo request forms
  • Customer support requests
  • Other locations where SMS consent is requested

Consent is:

  • Optional
  • Collected through clear, unchecked checkboxes
  • Not a condition of purchase

9. SMS Cancellation & Opt-Out

The Services, software, trademarks, logos, documentation, and related intellectual property remain the exclusive property of FileOnion.

Nothing in these Terms transfers ownership of any intellectual property to you.

16. Limitation of Liability

To the maximum extent permitted by law, FileOnion shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from your use of the Services.

Our total liability shall not exceed the amount you paid for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

The Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind except as expressly required by law.

You agree to indemnify, defend, and hold harmless FileOnion, its affiliates, employees, officers, contractors, and service providers from any claims, damages, losses, liabilities, costs, or expenses arising from:

  • Your use of the Services
  • Your uploaded content
  • Your violation of these Terms
  • Your violation of applicable laws

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute arising under these Terms shall be resolved through binding arbitration in accordance with applicable federal arbitration laws, except where prohibited by law.

19. Class Action Waiver

To the fullest extent permitted by law, all disputes must be brought individually.

You waive any right to participate in class actions, representative actions, or collective proceedings against FileOnion.

20. Changes to These Terms

We may modify these Terms from time to time.

Updated Terms will be posted on this page with a revised Effective Date.

Your continued use of the Services constitutes acceptance of any updated Terms.
